M&A Enterprise Architecture
It’s a truism that the balance of a negotiation is driven by who has the most information. It’s also true that you lose every deal you don’t close. In today’s digital world, you can’t learn everything from the numbers. What they know about their Information Technology assets can kill a deal or worse, result in a negative investment.
Information Technology Risks associated with a merger or acquisition include:
You don’t know what you don’t know in situations where knowledge provides an actionable edge
Leveraging Enterprise Architecture Methodologies, IT Perspective will conduct a focused assessment of any acquisition target providing a Technology SWOT Analysis, along with estimated costs of expected remediations.
Merging with or acquiring a company is a risky proposition in the best of circumstances. The risk is exacerbated in situations where both corporate entities have Information Technology assets and organizations, and the Senior Executives and / or investors do not have the experience, insights, and perspective to accurately estimate the risk and integration impact.
IT Perspective brings the experience, insights, and ability to conduct the analysis to more accurately understand risks, calculate impact and begin the process of increasing efficiencies and a successful integration.
By leveraging Enterprise Architecture disciplines and methodologies, IT Perspective maps out and evaluates the underlying systems and processes of an enterprise. It then aligns the applications, capabilities, and processes of a company with its business objectives, determining where resources will be required to remediate risks and optimize impact.
An engagement would kick-off with a client meeting where we would be given details on the target, intent of the investment, and expectations of our analysis.
During the Due Diligence phase of a negotiation IT Perspective will conduct a series of investigations with the target corporation. These investigations should include documentation discovery, completed RFIs, and ideally an on-site visit.
The result of the analysis will be a report providing you with the required insight to negotiate with confidence.
